The Solari Institute Terms of Use
Effective: July 28, 2026
1. Acceptance of These Terms
These Terms of Use (the "Terms") are a binding agreement between you and Solari LLC, doing business as The Solari Institute (the "Institute," "we," "us," or "our"), a program of Solari Advisory (solariadvisory.com). By creating an account, enrolling in a program, or purchasing any product on this site, you accept these Terms. If you do not agree, do not enroll or purchase.
2. Who We Are; Contact for Legal Notices
The seller and operator of this site and its programs is Solari LLC, doing business as The Solari Institute. All legal notices, questions, and requests under these Terms should be directed to [email protected].
3. Programs and Fees
The Institute offers online, self-paced professional education, including the Solari Institute Professional Certification in AI Governance in Law (AGL), currently priced at USD 850; the AGL California Endorsement (AGL-CA), currently priced at USD 350; and a bundle of both, currently priced at USD 1,100. Prices are subject to change at any time. The price displayed at checkout at the time of your purchase is the price that applies to that purchase.
4. All Sales Final; No Refunds
ALL SALES ARE FINAL. THE INSTITUTE DOES NOT OFFER REFUNDS. ALL FEES, INCLUDING ENROLLMENT, EXAMINATION, RETAKE, AND RECERTIFICATION FEES, ARE NON-REFUNDABLE. Please review program descriptions carefully before purchasing. By completing a purchase, you acknowledge and agree that you are not entitled to a refund for any reason, including non-use of the program, dissatisfaction, or failure to pass the examination.
5. Eligibility and Accounts
The Institute's programs are professional education intended for adults. You must be at least 18 years of age to create an account or enroll. You are responsible for maintaining the accuracy of your account information and the confidentiality of your login credentials, and for all activity that occurs under your account.
6. License and Acceptable Use
Upon purchase, the Institute grants you a limited, personal, non-transferable, non-exclusive, revocable license to access the enrolled program for your own individual professional education. Access is for the enrolled individual only. You may not: (a) share your account or program access with any other person; (b) resell, sublicense, distribute, publish, or otherwise make program content available to any third party; (c) copy, scrape, download in bulk, or systematically extract program content; (d) use program content, in whole or in part, to train, fine-tune, or otherwise develop any artificial intelligence system or model; or (e) circumvent any technical or access controls on the platform.
Violation of this Section is a material breach of these Terms and grounds for immediate termination of access without refund.
7. Intellectual Property
All program content, including videos, scripts, readings, examinations, examination questions, course materials, trademarks, and the structure and sequence of the curriculum, is the intellectual property of Solari LLC and is protected by applicable intellectual property laws. No ownership rights are transferred to you by purchase or enrollment. All rights not expressly granted in these Terms are reserved.
8. Examination and Academic Integrity
Certification requires passing the applicable examination with a score of 75 percent or higher. Each enrollment includes one retake, which must be used within 14 days of a failed attempt. Additional attempts must be purchased separately at the then-current fee.
Examinations are unproctored and open-book, and are administered subject to an academic-integrity commitment that you must affirm before sitting the examination. You agree to complete all examinations yourself, without assistance from any other person and without the use of any tool or arrangement that misrepresents your own performance. The Institute may withhold, suspend, or revoke a credential where it determines, in its reasonable judgment, that an integrity violation or a misrepresentation has occurred.
9. Credential Issuance, Maintenance, and Revocation
9.1 Issuance and verification. Credentials are issued through Sertifier, the Institute's credentialing platform. Each credential includes a public verification page that displays the holder's name, the credential earned, and its issue and expiry dates. Public verifiability is an inherent feature of the credential; by enrolling, you consent to this display.
9.2 Validity and recertification. Each credential is valid for one year from the date of issue. Maintaining the credential requires annual recertification, currently priced at USD 250 and subject to change, which includes completion of the annual update module.
9.3 Lapse and reinstatement. If you do not recertify by the credential's expiry date, a 60-day grace period applies. After the grace period, the credential may be reinstated upon completion of recertification requirements and payment of a late fee for up to six months after expiry. After six months, the credential lapses permanently and may be regained only by completing the certification program again.
9.4 Revocation. The Institute may revoke a credential for cause, including integrity violations, misrepresentation of the credential or its scope, or material breach of these Terms. Fees are not refunded upon revocation.
10. Educational Content Only; No Legal Advice
The Institute provides educational content only. Nothing in any program constitutes legal advice, and no attorney-client relationship is created by enrollment, participation, or communication with the Institute or its instructors. The Institute makes no guarantee of any professional outcome, including employment, advancement, client results, regulatory compliance, or admission or continuing legal education (CLE) credit, unless expressly stated by the Institute in writing. Program content reflects the law as of the version date stated in the applicable materials; the law changes, and you are responsible for confirming current requirements in your jurisdiction.
11. Disclaimer of Warranties
TO THE FULLEST EXTENT PERMITTED BY LAW, THE PROGRAMS AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. THE INSTITUTE DOES NOT WARRANT THAT ACCESS WILL BE UNINTERRUPTED OR ERROR-FREE.
12. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, THE AGGREGATE LIABILITY OF SOLARI LLC, ITS MEMBERS, OFFICERS, EMPLOYEES, AND CONTRACTORS, ARISING OUT OF OR RELATING TO THESE TERMS OR ANY PROGRAM, SHALL NOT EXCEED THE TOTAL FEES YOU PAID TO THE INSTITUTE IN THE TRANSACTION GIVING RISE TO THE CLAIM. IN NO EVENT SHALL THE INSTITUTE BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR LOST OPPORTUNITIES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. Some jurisdictions do not allow certain limitations; in those jurisdictions, liability is limited to the maximum extent permitted by law.
13. Time Limit on Claims
Any claim arising out of or relating to these Terms, any program, or any credential must be brought within six months after the claim accrues. Claims not brought within that period are permanently barred, to the fullest extent permitted by applicable law.
14. Termination
The Institute may suspend or terminate your access, and may withhold or revoke any credential, for breach of these Terms, including violations of Sections 6 and 8. Termination for breach does not entitle you to any refund. Sections 4, 7, and 10 through 17 survive termination.
15. Changes to These Terms
The Institute may modify these Terms from time to time. The current version, with its effective date, will be posted on this site. Changes apply prospectively from posting. Your continued use of the site or programs after changes are posted constitutes acceptance of the modified Terms. The Terms in effect at the time of a purchase govern that purchase.
16. Governing Law and Venue
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. Any action arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located in California, and you consent to the jurisdiction of those courts.
17. Severability; Entire Agreement
If any provision of these Terms is held unenforceable, it will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force. These Terms, together with the Privacy Policy and any program-specific terms the Institute publishes in writing, constitute the entire agreement between you and the Institute regarding the programs, and supersede any prior understandings.
